Tato diplomová práce se zaměřuje na jednu z možných forem financování podniku, kterou je získání finančních zdrojů na kapitálovém trhu prostřednictvím primární emise akcií. Jako konkrétní příklad, na kterém jsem se pokusila zhodnotit úspěšnost uskutečněné primární emise akcií, jsem zvolila firmu AAA Auto Group N.V. Tato firma se rozhodla získat finanční prostředky pro svůj další rozvoj právě vstupem na kapitálový trh. Teoretická část obsahuje výčet možných zdrojů dlouhodobého financování a podrobněji charakterizuje právě primární emisi akcií. Dále pak popisuje metody, které umožňují zhodnotit, jak prostředky získané z emise ovlivnily finanční situaci firmy. Praktická část obsahuje charakteristiku firmy a hodnotí průběh samotného úpisu. Popisuje jednotlivé faktory a skutečnosti, které nejvíce ovlivnily úpis. Hodnotí samotný úpis z pohledu emitenta i investora. Rovněž analyzuje finanční situaci podniku před úpisem a po úpisu. Zaměřuje se na skutečnost, jak ovlivnily prostředky získané emisí kapitálovou strukturu podniku, náklady na kapitál a hodnotu firmy. V konečné fázi pak rovněž posuzuje efektivitu využití těchto prostředků firmou. |

This diploma thesis is directed towards one of the possible forms of financing an enterprise, which is the raising of financial resources on the capital market through the primary emission of shares. For a specific example in which I have tried to evaluate the successfulness of the primary emission of shares, I have selected the company AAA Auto Group N.V. This company decided to raise financial funds for its further development by its entrance on the capital market. The theoretical part contains the list of possible sources for long-term financing and characterizes in detail, the primary emission of shares. It then describes the methods which enable to evaluate the influence of the financial funds raised on the financial situation of the company. The practical part contains a description of the company and evaluates the course of the subscription. It describes the individual factors and those facts which most influence the share subscription. It evaluates the subscription in terms of the issuer and the investor. At the same time, it analyses the financial situation of the enterprise before and after the subscription. It is directed towards the influence of funds raised by issuing the capital structure of the enterprise, the costs for capital and the value of the company. In the final stage it also evaluates the efficiency of the use of these funds by the company. |
