Koncern Baťa prizmatem vývoje po druhé světové válce: vybrané právní aspekty

Abstract

Rigorózní práce se věnuje dvěma právním aspektům spojeným s koncernem Baťa, a to materii jeho vlastnictví a znárodnění jeho částí v některých státech. V úvodní části práce jsou rozebrány historické souvislosti, poté je věnována pozornost klíčové právní úpravě. Práce rozebírá proces znárodnění koncernových společností v Československu, Bulharsku, Jugoslávii, Rumunsku a v Polsku. Rozebrána je také poválečná situace v Maďarsku, Itálii a v Brazílii. Práce se zaměřuje na rozhodovací činnost soudů v Nizozemí, v New Yorku, Delaware a v Pensylvánii, které řešily otázku vlastnictví společnosti. Není opomenuta ani problematika extrateritoriálních účinků znárodnění a retribuce.

The rigorous thesis deals with two selected legal aspects of the Baťa Concern. The matter of the Concern’s ownership and nationalization in chosen states are the main topics of my thesis. At the beginning, I cope with the family background and the history of the company up to the present. The applicable general and constitutional laws of Czechoslovakia and selected states are mentioned. Then, the rigorous thesis shows the progress of the nationalization of the Baťa Concern’s companies in Czechoslovakia, Bulgaria, Yugoslavia, Romania and Poland. Furthermore, the situation in Brazil, Italy, and Hungary is analyzed. I focused on decisions of the courts in the Netherlands, New York, Delaware and Pennsylvania which had solved the matter of the ownership of the Concern. The issues of the extraterritorial influence of nationalization measures and retribution are also mentioned.
