dc.description.abstract	Tato bakalářská práce se zabývá právními a ekonomickými aspekty spojení soutěžitelů HP Invest, HP TRONIC-prodejny elektro a.s. a NAY a.s. v kontextu ochrany hospodářské soutěže. Cílem práce je zhodnotit dopady předmětného spojení na maloobchodní trh se spotřební elektronikou a porovnat rozhodovací praxi Úřadu pro ochranu hospodářské soutěže a Protimonopolního úřadu Slovenské republiky. Práce nejprve představuje teoretický rámec soutěžního práva a spojení soutěžitelů a následně analyzuje konkrétní správní rozhodnutí včetně posouzení tržní síly, vývoje tržní koncentrace, regionálních a vertikálních dopadů spojení. Součástí práce jsou i návrhy de lege ferenda směřující ke zvýšení účinnosti kontroly koncentrací. Na základě zjištění lze konstatovat, že spojení nevzbudilo vážné obavy z podstatného narušení hospodářské soutěže, nicméně regionální i vertikální dopady by mohly být do budoucna lépe reflektovány legislativou i rozhodovací praxí.

dc.description.abstract-translated	This bachelor's thesis focuses on the legal and economic aspects of merger between HP Invest, HP TRONIC-prodejny elektro a.s., and NAY a.s. in the context of competition protection. The aim of the thesis is to assess the impact on the concentration on the retail market of consumer electronics and to compare the decision-making practises of the Czech Office for the Protection of Competition and the Slovak Antimonopoly Office. The thesis presents the theoretical framework of competition law and merger control, followed by an analysis of specific administrative decision including the assessment of market power, the development of market concentration, regional and vertical effects of the merger. The thesis also includes de lege ferenda proposals aimed at enhancing the effectiveness of merger control. Based on the findings, it can be concluded that merger did not raise serious concerns of significant distortion of competition. However, regional, and vertical impacts could be better addressed in the future legislation and decision-making practice.
